1. About Global Rank

Global Rank is operated by Global Rank Limited ("we", "us", "our"), a company registered in New Zealand. Our registered address is Suite 16053, Unit A, Level G, 26 Hobson Street, Auckland City 1010, New Zealand.

Global Rank is a digital registry that assigns unique rank numbers to individuals and organisations worldwide. Series I contains exactly 100,000 ranks numbered 000001 through 100000. Each rank is unique and can be owned, displayed, and transferred through the Platform.

2. Nature of Global Ranks — Not an Investment

• Global Ranks are digital collectibles only and have no intrinsic financial value.
• Global Ranks are not investments, securities, financial products, or instruments of any kind.
• We make no representations or guarantees regarding future value, resale value, or market price.
• Purchasing a rank does not entitle you to equity, profit share, dividends, or any financial return from Global Rank.
• Any secondary market value is determined solely by buyer demand and market forces.
• If you are uncertain whether purchasing a rank is appropriate for your circumstances, you should seek independent financial advice before proceeding.

3. Eligibility

• You must be at least 18 years old.
• You must have legal capacity to enter into binding contracts in your jurisdiction.
• You must not be located in, or be a national or resident of, any comprehensively sanctioned country or be on any government sanctions or prohibited persons list.
• You must provide accurate and complete registration information.
• We reserve the right to refuse access to any person or entity at our sole discretion.

4. Accounts and Collector Names

• You must create an account to purchase or hold a rank.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• Your Collector Display Name is permanently associated with your account and cannot be changed once set.
• Collector Display Names are publicly visible on the registry, certificates, leaderboard, and other public platform surfaces.
• Collector Display Names must be unique, between 3 and 24 characters, and only contain letters, numbers, spaces, hyphens, and underscores.
• We reserve the right to remove or modify Collector Display Names that violate these Terms or are otherwise inappropriate.

5. Purchasing Ranks

• Elite, Prime, and Core ranks are available at fixed prices shown on the Platform in USD.
• Sovereign ranks (000001–000100) and selected special numbers are sold by auction.
• Auctions close 24 hours after opening, subject to anti-sniping extension of 5 minutes if a bid is placed in the final 5 minutes.
• The highest bid at auction close wins. Bid history is publicly visible during and after the auction.
• Winning bidders must complete payment. Failure to pay may result in account suspension.
• All payments are processed through Stripe. We do not store card details. Sales are final except as required by applicable New Zealand consumer law.
• Upon successful payment, ownership is recorded in the Global Rank Registry and a Certificate of Ownership is generated in your dashboard.

6. Ownership and Transfer

• Upon purchase, you receive the exclusive right to be recorded as the owner of that rank number in the Registry.
• You may display your rank number and associated certificate publicly.
• You may transfer your rank to another registered user through the Platform marketplace.
• You do not receive any intellectual property rights in the Global Rank name, logo, platform, or associated assets.
• Off-platform transfers are not recognised and will not be recorded in the Registry.
• All marketplace transfers are subject to a 5% seller fee and all transfer records are permanent and publicly visible.

7. Certificates and Badges

• Your certificate is provided as a permanent online registry record and shareable proof URL, not as a downloadable file.
• You may share your badge on personal social media accounts and personal websites.
• You may display your rank number and certificate in connection with your personal or professional identity.
• You may not alter, modify, or misrepresent the certificate or badge.
• You may not imply endorsement by Global Rank of any product, service, or opinion.
• You may not sell or license the certificate or badge independently of the underlying rank.

8. Prohibited Conduct

• Do not use the Platform for unlawful purposes or in violation of these Terms.
• Do not interfere with the security or functionality of the Platform.
• Do not attempt to claim or register ranks through bots, scripts, or automated means.
• Do not impersonate others or misrepresent your affiliation.
• Do not engage in market manipulation, wash trading, or artificial price inflation.
• Do not use the Platform to launder money or fund illegal activities.
• Do not reverse-engineer, decompile, or attempt to extract source code from the Platform.

9. Intellectual Property

All intellectual property rights in the Platform, including the Global Rank name, logo, coin designs, certificate designs, badge designs, website design, and software, are owned by or licensed to us. Nothing in these Terms transfers any intellectual property rights to you.

You grant us a non-exclusive, royalty-free licence to display your Collector Display Name publicly in connection with your rank on the Platform, leaderboard, and registry.

10. Privacy

Your use of the Platform is subject to our Privacy Policy at globalrank.io/privacy. By using the Platform, you consent to the collection and use of your information as described there.

Your Collector Display Name and Rank ownership are publicly visible. Your email address is never displayed publicly.

11. Disclaimers and Limitation of Liability

• The Platform is provided "as is" and "as available". We do not guarantee uninterrupted, error-free, or virus-free operation.
• We take reasonable steps to maintain Registry accuracy. If a technical error affects the Registry, our liability is limited to correcting the Registry record.
• To the maximum extent permitted by New Zealand law, we exclude liability for indirect, incidental, special, or consequential loss or damage, including loss of value, profit, or data.
• Our total liability to you shall not exceed the amount you paid for your rank(s) in the 12 months preceding the claim.

12. New Zealand Consumer Rights

Nothing in these Terms limits or excludes rights you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 that cannot be excluded by agreement. If you acquire the Platform or ranks for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply.

13. Amendments to These Terms

We may amend these Terms at any time. We will notify registered users of material changes by email and by posting updated Terms on the Platform. Continued use after any amendment constitutes acceptance of the updated Terms.

14. Termination

We may suspend or terminate your account if you breach these Terms or if we determine your conduct is harmful to the Platform or other users. Upon termination, you retain ownership of ranks held in your account, but access to the Platform may be restricted.

15. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms or your use of the Platform are subject to the exclusive jurisdiction of the New Zealand courts.
